Terms of Service

1. Description of Services

Trade IQ is an advanced proprietary financial market visualization and algorithmic technical research platform. The Platform integrates several mathematical and automated modules, including but not limited to:

• Market Sentiment & Breadth Gauges: Broad index (SPY, QQQ), sector, equity, and individual stock-level participation metrics, including advancer/decliner ratios and active momentum calculations.
• Vectorized Technical Pattern Engine: Algorithmic scanners executing real-time detection of classic chart geometries (e.g., flag breakouts, head and shoulders, cup and handle, flat base consolidations) across Micro (5M), Swing (4H), and Macro (1D) timeframes.
• Options Flow & GEX Analytics: Proprietary quantitative calculators generating Gamma Exposure (GEX) Gravity Well models and Heatseeker options flow delta/gamma visualization.
• AI Chat Assistant ("Lead Analyst"): An interactive artificial intelligence research assistant designed to query the Platform's local database, watchlists, earnings calendars, and web search engines to compile quantitative summaries.
• Real-Time Alerting Systems: Audio squawk systems and Discord bot alert feeds providing instant notification of technical scanner signals.
• Future Updates & Feature Modifications: Trade IQ reserves the right to add, modify, update, suspend, or remove any features, tools, scanners, data feeds, or services on the Platform at any time without prior notice. Any such additions, updates, or modifications shall automatically be governed by these Terms.

2. Strict Financial & Investment Advice Disclaimer

• No Investment Advice: No content, chart, AI assistant response, audio squawk alert, or discord notification generated by the Platform constitutes a recommendation to buy, sell, or hold any security, option, or financial instrument.
• User Responsibility: You acknowledge that all trading and investment decisions you make are solely your own responsibility. You agree to consult with a certified financial professional before making any financial commitments.
• Risk of Loss: Options trading, equity trading, and leveraging financial instruments carry a high level of risk and may not be suitable for all investors. You acknowledge the potential to lose all of your initial capital. Past performance of any system indicator or algorithmic strategy is not indicative of future results.

3. System Access, Security, and Account Sharing

• Vetted Credentials: Access to Trade IQ is highly restricted and subject to manual credential vetting. We reserve the absolute right to grant, deny, suspend, or terminate access to any user or pending request at our sole discretion, without prior notice.
• Account Security: You are responsible for safeguarding your login credentials. You agree not to disclose your credentials to any third party and to notify us immediately of any unauthorized use of your account.
• Single-User Access Policy: Unless explicitly authorized by a separate multi-seat enterprise agreement, each account is for a single user. Sharing accounts, sessions, or distributing platform data, screenshots, or squawk streams to non-licensed users is strictly prohibited and constitutes grounds for immediate account termination.

4. Intellectual Property (IP) Clause

• Exclusive Ownership: You acknowledge and agree that all software, source code, frontend and backend code, database architectures, user interface (UI) designs, design systems, layouts, graphics, images, logos, trademarked symbols, audio alert sounds, squawk feeds, and proprietary content (collectively, the "Intellectual Property") belong exclusively to Trade IQ, LLC.
• Prohibition on Unauthorized Copying and Reproduction: Unauthorized copying, reproduction, reverse-engineering, cloning, modifications, or creation of derivative works of any part of the software, code, user interfaces, or designs is strictly prohibited.
• Strict Anti-Scraping Restrictions: You are strictly prohibited from using, deploying, or introducing any automated scraping tools, bots, web crawlers, spiders, scripts, or automated software interfaces to harvest, parse, or extract data, listings, watchlists, charts, calculations, or notifications from the Platform.
• Strict Non-Redistribution Restrictions: Unauthorized redistribution, syndication, screen-sharing, recording, broadcasting, or publishing of any Platform outputs (including GEX charts, options flow data, pattern signals, or audio voice squawks) to public or private third-party channels (including Discord servers, social media feeds, or subscription forums) is strictly prohibited.

5. Data Feed, AI Assistant, and Algorithmic Limitations

• NO WARRANTIES ON ACCURACY: WHILE TRADE IQ INGESTS DATA FROM INSTITUTIONAL FEED AGGREGATORS, ALL DATA AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, TRADE IQ, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE TIMELINESS, COMPLETENESS, ACCURACY, OR UNINTERRUPTED DELIVERY OF STOCK PRICES, OPTION LEVELS, VOLUME METRICS, OR EARNINGS CALENDAR DATES.
• Scanner False Positives: Technical pattern scanner geometries (e.g. flat bases, cup & handles) are generated via mathematical heuristics. They represent algorithmic calculations and should not be construed as certain predictors of directional market breakout movements.
• AI Assistant ("Lead Analyst") Hallucinations: The Lead Analyst chatbot compiles summaries using large language models. The AI may occasionally hallucinate or output inaccurate financial data, stale stock prices, or incorrect earnings dates. You are strictly required to independently verify all information (especially current stock prices and dates) via public exchange resources before executing any trades.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRADE IQ, LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

1. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
2. ANY TRADING LOSSES, INVESTMENT LOSSES, OR FINANCIAL DECISIONS MADE BY YOU IN CONNECTION WITH DATA RENDERED BY THE PLATFORM;
3. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
4. ANY DATA DELAYS, PIPELINE DISRUPTIONS, OR FEED SERVICE INTERRUPTIONS.

IN NO EVENT SHALL TRADE IQ, LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT PAID BY YOU TO TRADE IQ, LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in South Carolina for the resolution of any disputes arising under this Agreement.

8. Indemnification

You agree to indemnify, defend, and hold harmless Trade IQ, LLC, its members, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:

1. Your violation of these Terms of Service;
2. Your misuse of the Platform or Services;
3. Your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary rights; or
4. Any trading or investment decisions you make using the data rendered by the Platform.

9. Amendments to Terms

We reserve the right to modify or replace these Terms of Service at any time. When modifications are made, we will update the "Last Updated" date at the top of this document. Your continued use of the Platform after any changes are published constitutes your acceptance of the new Terms.
